This document describes the general terms and conditions of use (the "Terms and Conditions" or "Terms") applicable to access to and use of the services offered by Lexgo SpA and all its subsidiaries ("Lexgo"). Your access to and use of the services is conditional upon acceptance of and compliance with these Terms. Therefore, by accessing or using the service, you agree to be bound by these Terms.
Lexgo is constantly seeking to improve its services and, as a result, reserves the right to modify and change the Terms and Conditions. Lexgo will always notify you of such changes through an announcement on our website or through the application. By continuing to access or use our service after those revisions take effect, you agree to be bound by the amended terms. If you do not agree with the new terms, please stop using the service.
First: Background
Lexgo SpA ("Lexgo", "we", and "our", and its affiliates, including officers, directors, employees, consultants, agents, and representatives) is a company that provides a platform through which companies can administer their business and organize and manage legal documents using technological tools (the "Service" or "Services").
The "Customer", "User", "You", and "your" refer to each consumer, visitor, or user of any of the Services provided by Lexgo. If you access or use the Services on behalf of an organization, company, or other entity, then (a) "you" and "your" also refer to that entity, (b) you represent and warrant that you are an authorized representative of the entity with sufficient authority to bind it to these terms of service, and (c) you agree to these terms of service on the entity's behalf.
Upon subscribing, each Customer is assigned an account executive responsible for guiding them through the services and products offered on the platform, with whom they may communicate regularly and smoothly. In addition, where applicable under the plan chosen by the Customer, a lawyer will also be assigned to conduct document reviews of ordinary contracts and periodic calls (Startup Plan), or oversee the company's general legal operations (Counsel or Enterprise Plan). Likewise, if specific legal advisory services outside the Customer's plan are required, the account executive or lawyer will put the Customer in touch with the specialist responsible.
Second: Nature of the services
The provision of automated Services through the platform does not constitute legal advice. Lexgo is not a law firm. If the Customer requires legal advice to review the documents included on the platform or guidance on specific matters, their assigned lawyer will assist them. If the matter is too complex to resolve through the tools provided on the platform, the account executive may put the Customer in touch with a specialized lawyer ("Counsel") who will provide legal advice and deliver that service as an outsourced service to Lexgo.
At no time will an attorney-client relationship be created between you and Lexgo, its employees, or any other person associated with Lexgo unless specific and specialized legal advice is being provided. Therefore, information the Customer provides through the platform will not be protected by attorney-client privilege. Nevertheless, Lexgo will keep strictly confidential all access to information that is private or confidential by the nature of its business. An attorney-client relationship will be established only between you and the lawyer who reviews your documentation or guides you in a particular situation, or the Counsel assigned to you if you have accepted the quote sent by Lexgo for the specific matter requiring it.
We provide online tools and materials to assist you in preparing, executing, and retaining your legal documents and related information. The documents and other materials available through the platform, including any descriptions, information, and other resources (collectively, the "Materials"), are offered solely for informational purposes, do not constitute legal advice, and are not guaranteed to be correct, complete, or up to date. The Customer accepts that the Materials provided are not tailored to their particular needs.
The Customer acknowledges and accepts that the legal advice and services provided by both Lexgo's lawyers and Counsels are obligations of means, not of result: they do not commit to any favorable outcome, but to diligent conduct that reasonably tends toward achieving the expected result, which is neither assured nor promised.
The Customer must ensure the security and integrity of their account. Lexgo assumes that whoever creates the account has sufficient authority to perform all acts necessary to use the platform.
When the Customer creates an account to use or access our Services, they must provide truthful, complete, and current information. They will also be required to provide a username and password. Registration will involve the User disclosing certain personal data to Lexgo, such as their name, email address, and phone number. By registering with Lexgo and using the Service, the Customer acknowledges and accepts the processing of their personal data in accordance with applicable law. Such information will be subject to Lexgo's Privacy Policy. The Customer represents and warrants that their account information is truthful, accurate, and complete.
The Customer is entirely responsible for maintaining the confidentiality of their password. The Customer is solely responsible for activity on their account. The Customer must keep their account password secure and must not use third-party accounts at any time. The Customer is responsible for notifying Lexgo immediately upon becoming aware of any security breach or unauthorized use of their account. Lexgo will not be liable for losses the Customer suffers through third-party use of their account. The Customer will be liable for losses Lexgo suffers through third-party use of the Customer's account.
Third: User obligations
The User is prohibited from using the Services in a manner that is harmful, threatening, harassing, or objectionable to Lexgo or third parties, or in any way that may violate any law or regulation. By way of example, the Customer agrees not to engage in any of the following activities:
- Use electronic communication mechanisms, software, or scripts that disrupt proper use of the platform, disable or overload it, or take any action that may impair the functionality of its infrastructure.
- Engage in any activity or transmit information that impersonates others or falsifies or conceals their identity or affiliation.
- Violate or infringe the intellectual property rights or other proprietary rights of third parties.
- Circumvent or interfere with security, access, or use restrictions, or other measures used to control, restrict, or impede access to the Services or other information contained in or obtained through them.
- Use automated means or any other unauthorized means to modify, redirect, access, or use the Services.
- Reverse engineer or attempt to obtain the platform's source code unless you have Lexgo's prior written permission.
- Attempt on your own, or become involved with any existing effort, to (a) develop or operate a product or service that competes with the Services or uses ideas, features, functions, or graphics similar to those of the Services, or (b) copy ideas, features, functions, or graphics of the Services.
If we determine that you have violated any provision of these Terms and Conditions, we reserve the right to terminate or suspend your access to the Services permanently or temporarily, after which we will send you an email notification.
Fourth: License and intellectual property
The platform's content, as well as the software, databases, networks, and files that allow the User to access and use the Services, are owned by Lexgo and protected by laws and international treaties on copyright, trademarks, patents, industrial models, and designs.
Subject to compliance with these Terms and Conditions, Lexgo grants the User a limited, non-exclusive, non-sublicensable, revocable, non-transferable license for (i) access to and use of the platform solely in connection with the provision of the Services; and (ii) access to and use of the products, content, information, and related Materials that may be made available through the Services, in each case solely for personal, non-commercial use.
Therefore, unless expressly stated otherwise, nothing in these Terms and Conditions may be considered a license or authorization to license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publish, adapt, edit, or create derivative works from any materials or content accessible through the Service.
Accordingly, the Service and all related rights are and will remain the property of Lexgo and/or its licensors. Use of the Service therefore does not transfer or grant you any right (i) in or relating to the Services, except for the limited license granted above; or (ii) to use or mention for advertising purposes Lexgo's company names, logos, slogans, product and service names, or trademarks without its express prior authorization.
In turn, the Customer also grants Lexgo a worldwide, non-exclusive, transferable, sublicensable, revocable, royalty-free license to access the content they upload when using the Services and to use, reproduce, distribute, and display it for the purpose of fulfilling the functions stated on the platform, always in accordance with our Privacy Policy.
The licenses you grant over your content will terminate within a commercially reasonable time after you remove or delete that content from the platform. We may retain and use your content for as long as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
The Customer may choose or be invited to submit comments or ideas about the Service, including, without limitation, how we can improve the Service or our products. By submitting an Idea, you agree that your submission is gratuitous, unsolicited, and unrestricted and will not place Lexgo under any fiduciary or other obligation, and that we are free to use the Idea without additional compensation to you and/or disclose the Idea on a non-confidential basis or otherwise to anyone. You also acknowledge that, by accepting your Idea, Lexgo does not waive the use of similar or related ideas previously known to Lexgo, developed by its employees, or obtained from sources other than you.
Fifth: Network access
The User acknowledges that achieving 100% platform availability is technically impossible. Nevertheless, Lexgo will endeavor to keep it available as consistently as possible. The User acknowledges that Lexgo does not control data transfers through communication systems and that the Service may be subject to limitations, delays, and other problems inherent in their use. Therefore, the Service may experience malfunctions or delays inherent in the use of the Internet and electronic communications. The User is also responsible for acquiring and updating compatible hardware and software to access and use the Service and the app.
Sixth: Terms of sale
If the Customer decides to use the Services, they are deemed to accept the terms of sale, pricing, payment, and billing policies applicable to fees and charges. Lexgo may add new Services for additional fees and charges or modify the fees or charges for existing services upon prior notice to the Customer. The Customer authorizes Lexgo to charge their credit card for all fees and charges incurred in connection with their use of the Services, including Lexgo's fees and governmental, notarial, or other third-party fees.
Lexgo charges a fee for using the Services, which may be one-time or recurring. In the first case, Lexgo charges a unit price for generating the requested automated document. In the second, the fee corresponds to a monthly subscription under the Customer's contracted plan. Details of per-document fees or each plan's monthly subscriptions can be found at app.lexgo.cl/billing. Likewise, if specific legal advisory services outside the Customer's plan are required, specific fees may be agreed with the specialist responsible.
The Customer agrees to pay all charges incurred by users of their credit card, debit card, or other payment method used in connection with a purchase or transaction within the Services, at the prices in effect when those charges are incurred. The Customer will pay any applicable taxes, if any, related to any purchase or transaction.
Lexgo uses a third-party payment processor ("Payment Processor") to bill the Customer through a payment account linked to their Services subscription ("Billing Account") for use of the Services. Payment processing will be subject to the Payment Processor's terms, conditions, and privacy policies in addition to these Terms. We currently use Stripe, Inc. as our payment processor. You can access Stripe's Terms of Service and its Privacy Policy.
Lexgo is not responsible for any errors or other acts or omissions of the Payment Processor. By choosing to use the Services, the Customer agrees to pay Lexgo, through the Payment Processor, all charges at the current prices for use of those Services in accordance with the applicable payment terms, and authorizes Lexgo, through the Payment Processor, to charge their chosen payment provider ("Payment Method"). The Customer agrees to make payment using the selected Payment Method. Lexgo reserves the right to correct any error made by the Payment Processor even if payment has already been requested or received.
Payment arrangements will be based on the Customer's Payment Method and may be determined by agreements between the Customer and the financial institution, credit card issuer, or other provider of the chosen Payment Method. If Lexgo does not receive payment through the Payment Processor, the Customer agrees to pay all amounts due on the Billing Account upon request.
The Customer must provide current, complete, and accurate information for their Billing Account. The Customer must also immediately update all information to keep their Billing Account current, complete, and accurate (such as a change in billing address or credit card number or expiration date), and must immediately notify Lexgo or the Payment Processor if their Payment Method is canceled (for example, due to loss or theft), or if they become aware of a potential security breach. Changes to such information can be made by contacting Lexgo at contacto@lexgo.cl.
If the Customer fails to provide any of the above information, they agree that Lexgo may continue charging for any use of the Services under their Billing Account unless they have terminated their Services in the appropriate manner.
Unless expressly stated otherwise, which may be done by contacting Lexgo at contacto@lexgo.cl, any Service to which you have subscribed will automatically extend for successive renewal periods of the same duration as the subscription period originally selected, at the non-promotional rate then in effect.
To change or discontinue their Services at any time, the Customer may contact Lexgo at contacto@lexgo.cl. If they cancel a paid Service, they may use their subscription until the end of the then-current period, and their subscription will not renew after that period expires. However, they will not be eligible for a prorated refund of any part of the subscription fee paid for the then-current subscription period. If they do not wish to continue being charged monthly fees, they must cancel their Services by contacting Lexgo at contacto@lexgo.cl, or terminate their Lexgo subscription before the end of the relevant term. The Services cannot be canceled before the end of the period already paid for and, except as expressly provided in these Terms, Lexgo will not refund any fees already paid.
Any free trial or other promotion providing access to the Services must be used within the specified trial period. You must stop using the Services before the end of the trial period to avoid being charged for those Services.
Seventh: User information
Lexgo takes its users' privacy very seriously. To access some of the Services Lexgo offers, the Customer must provide certain personal data. Lexgo guarantees full compliance with the obligations established, as well as implementation of the security measures required by current data protection regulations, in accordance with its Privacy Policy. That Privacy Policy makes detailed data protection information available to Customers.
Unless expressly authorized by the other party, neither party will disclose to any third party any information or material provided by the other party under these Terms that would reasonably be understood as confidential ("Confidential Information"), or use such Confidential Information in any manner other than to fulfill its obligations under these Terms.
Eighth: Third-party services
The Services may contain links or connections to third-party websites or services that are not owned or controlled by Lexgo. When accessing third-party websites or using third-party services, the Customer accepts that doing so involves risks and that Lexgo is not responsible for those risks.
Lexgo has no control over and assumes no responsibility for the content, accuracy, privacy policies, practices, or opinions expressed on third-party websites or by any third party with whom the Customer interacts through the Services. If the Customer accesses a third-party website while using the Services, they do so at their own risk and understand that these Terms will not apply to the use of those websites. Moreover, Lexgo will not monitor, verify, censor, or edit the content of any third-party website or service. Lexgo recommends that the Customer read the terms and conditions and privacy policy of each third-party website or service they visit or use. By using the Services, the Customer releases and discharges Lexgo from all liability arising from the use of any third-party website or service.
Ninth: Indemnification
The Customer agrees to defend, indemnify, and hold harmless Lexgo and its agents, licensors, administrators, and other affiliated companies, and their employees, contractors, agents, representatives, and directors, from any liability and/or claim, damage, obligation, loss, debt, and expense arising from: (i) their use of and access to the Services, including any information or content transmitted or received; (ii) their breach of any term of these Terms, including failure to comply with any of their clauses; (iii) their violation of any third-party right, including privacy, publicity, or intellectual property rights; (iv) their violation of any law, rule, or regulation of Chile or any other country; (v) any claim or damage arising as a result of content submitted through their account; or (vi) any third-party access to and use of the Services with their unique username, password, or other appropriate security code.
Tenth: Warranties
The Services are provided by Lexgo and its licensors "as is", and the Customer uses the Services at their own risk. To the fullest extent permitted by law, the services are provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Without limitation, Lexgo and its licensors do not warrant that the content in the Services is accurate, reliable, or correct; that the Services will meet your requirements; that the Services will be available at any particular time or place, uninterrupted or securely; that any defects or errors will be corrected; or that the Services are free of viruses or other harmful components. Any content downloaded or otherwise obtained through use of the Services is downloaded at your own risk, and the Customer will be solely responsible for any damage to their computer system or loss of information resulting from that download or their use of the services.
Eleventh: Limitation of liability
To the fullest extent permitted by law, under no circumstances will Lexgo, its affiliates, agents, directors, employees, providers, or licensors be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including, among others, damages for lost profits, information, or other intangible losses resulting from use of or inability to use these Services. Likewise, under no circumstances will Lexgo be liable for any damage, loss, or injury resulting from hacking, data alteration, or other unauthorized access to or use of the Services, your account, or the information it contains.
To the fullest extent permitted by law, Lexgo assumes no liability for (i) any errors, mistakes, omissions, or inaccuracies in the content of the Services; (ii) any personal injury or property damage of any nature resulting from your access to or use of our Services; (iii) any unauthorized access to or use of secure servers and/or any personal information stored on them; (iv) any interruption or cessation of transmission to or from the Services; (v) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Services by third parties; (vi) any loss or damage incurred as a result of using content published, submitted, transmitted, or otherwise made available through the Services; and/or (vii) any user content or defamatory, offensive, or illegal conduct of any third party. This limitation of liability applies in full regardless of whether the alleged liability is based on contract or tort, negligence, strict liability, or any other basis, even if Lexgo has been advised of the possibility of such damage. This limitation of liability will apply to the fullest extent permitted by law before the competent court.
Twelfth: Crime Prevention Model
The Customer expressly declares that they have become aware of the provisions of Law No. 20.393, which establishes the Criminal Liability of Legal Entities, and the Crime Prevention Model adopted by Lexgo, and warrants that they have adopted all crime-prevention measures necessary and sufficient to comply with the standards of Lexgo's Crime Prevention Model and Code of Ethics throughout the term of the Services Agreement.
The Customer undertakes to cooperate actively in preventing unlawful activities and crimes related to the goods or services covered by this Agreement. This includes, but is not limited to, providing the information necessary to comply with applicable laws and regulations and cooperating in any investigation relating to potential legal violations.
If the Customer becomes aware of any suspicious, unlawful, or criminal activity related to the products or services provided under this Agreement, they undertake to notify Lexgo immediately through the reporting channel available on the Lexgo platform (app.lexgo.cl). This notification must include relevant details to enable an appropriate investigation and corrective action, if necessary.
Both parties acknowledge the importance of maintaining ethical and lawful business practices. Any breach of this clause by the Customer will entitle Lexgo to terminate the Agreement early and immediately, without the need for any judicial or arbitral declaration, and without prejudice to any other rights or actions available under the law.
Likewise, the Parties agree to maintain the confidentiality of sensitive information shared during performance of this agreement and to take the measures necessary to ensure that information's security.
Thirteenth: Jurisdiction
Legal actions and proceedings are subject to Chilean law and to its ordinary courts of justice.
The Customer agrees that (i) the Services are deemed to be located in Chile, and (ii) the Services are deemed to be located on a passive website that does not give rise to personal jurisdiction over Lexgo, whether specific or general, in jurisdictions other than Chile. The Customer expressly agrees that their rights and obligations, these Terms, and any dispute will be governed by and interpreted under Chilean law, excluding its conflict-of-laws rules. Application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. Any claim or dispute between the Customer and Lexgo arising in whole or in part from the Services will be heard exclusively by a competent court in the municipality of Santiago.
Fourteenth: Notices
Lexgo may notify the Customer, whether such notices are required by law or necessary for other business reasons, by email, in written or printed form, or by posting the notice on our website, as determined by Lexgo in its sole discretion. Lexgo reserves the right to establish the form and means of notifying its users. Lexgo is not responsible for any automatic filtering that the Customer or their internet provider may apply to email notifications sent to the email address provided. We recommend adding contacto@lexgo.cl to your address book to ensure you receive our email notifications.
Fifteenth: Invalidity and ineffectiveness
These Terms, together with any amendment or additional agreement entered into with Lexgo in connection with the Services, constitute the entire agreement between the Customer and Lexgo regarding the Services. If any provision of these Terms is held wholly or partly void or ineffective by a court of competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms, which will remain in full force and effect.
Failure to require strict compliance with any provision of these Terms on one or more occasions may not, under any circumstances, be considered a waiver of rights or consent, nor will it deprive Lexgo of its ability to require strict compliance with the obligations arising from them.
